Terms of Service

1. Acceptance of Terms

By creating an account or using Postida ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms in full, you must not use the Service. These Terms apply to all users, including free and paid subscribers.

2. Description of Service

Postida is a social media content tool designed for HVAC and home services businesses. The Service allows you to browse a curated library of industry-relevant content, generate AI-assisted captions and images, and publish or schedule posts to connected Facebook Pages and Instagram Business accounts through the Meta Graph API.

The Service is provided as a convenience tool only. We do not guarantee that any content published through the Service will achieve specific marketing outcomes, reach, engagement, or business results.

3. Account Responsibilities

You are solely responsible for:

• Maintaining the confidentiality of your login credentials and preventing unauthorized access to your account.
• All activity that occurs under your account, whether authorized by you or not.
• Ensuring that any social media accounts you connect to Postida belong to you or to a business you are duly authorized to manage.
• Reviewing all AI-generated content before publishing. You are entirely responsible for the accuracy, legality, and appropriateness of any content published through your account.
• Ensuring your use of the Service complies with all applicable local, state, federal, and international laws and regulations.

4. Acceptable Use

You may use Postida to create and publish social media content for legitimate business promotion. You may not use the Service to:

• Post spam, misleading claims, false advertising, or content that violates Meta's Platform Policies, Community Standards, or any other third-party platform rules.
• Generate or publish content that is illegal, defamatory, harassing, threatening, obscene, or harmful to any person or group.
• Attempt to reverse-engineer, scrape, crawl, or extract data from the platform in any automated manner.
• Abuse the generation system with excessive, automated, or scripted requests beyond normal usage.
• Resell, sublicense, or otherwise provide access to the Service to third parties without our written consent.
• Use the Service to manage social accounts on behalf of clients unless those clients have given you explicit written authorization to act on their behalf and you have accepted full responsibility for their accounts under these Terms.
• Interfere with or disrupt the integrity or performance of the Service or its related systems.

5. AI-Generated Content

Content generated by the AI tools within Postida (captions and images) is provided as a starting point for your review. You acknowledge and agree that:

• AI-generated content may occasionally be inaccurate, incomplete, factually incorrect, or unsuitable for your specific business. You must always review content before publishing.
• You are solely responsible for the accuracy of any claims made in posts you publish, including but not limited to claims about pricing, services, warranties, or certifications.
• Generated images are licensed to you for use in your business social media only. You may not resell or redistribute them as standalone assets. AI-generated images are produced via OpenAI's DALL-E API. You are responsible for reviewing OpenAI's usage policies regarding generated images, as those policies may affect permitted commercial use. We make no independent warranties regarding the intellectual property status of AI-generated images.
• We make no warranties regarding the originality, copyright status, or fitness for commercial use of AI-generated content. You use AI-generated content at your own risk.

6. Third-Party Platform Integrations (Meta, Facebook, Instagram)

The social publishing features of Postida depend on the Meta Graph API and other third-party platforms. You expressly acknowledge and agree to all of the following:

• No control over third-party platforms: Postida has no control over Meta's (Facebook/Instagram) platforms, policies, API availability, or enforcement decisions. We cannot guarantee that publishing will succeed at any given time.
• Account risk is yours alone: Your use of Postida to publish content is subject to Meta's own Terms of Service, Platform Policies, and Community Standards. Violations of Meta's policies that result in account restrictions, suspensions, bans, or removal of content are entirely your responsibility. Postida bears no liability for any such action taken by Meta against your account.
• API changes and outages: Meta may modify, restrict, deprecate, or discontinue API features at any time without notice. We are not responsible for any disruptions to publishing functionality caused by Meta API changes, outages, or policy updates.
• No guarantee of delivery: We cannot guarantee that posts submitted for publishing or scheduling will be successfully delivered to any platform. Post delivery failures, delays, or errors caused by third-party APIs are outside our control.
• Token expiration: Meta access tokens expire periodically. If your token expires before a scheduled post is published, that post may fail. You are responsible for keeping your connected accounts active and tokens valid.
• Content compliance is your responsibility: You are solely responsible for ensuring all content published through your accounts complies with Meta's current policies at the time of publishing.

By connecting a social account, you authorize Postida to publish content to those accounts on your behalf according to your instructions. You may revoke this access at any time from the Social Accounts page or directly through your Facebook settings at facebook.com/settings.

7. Subscriptions and Billing

Paid plans are billed monthly on a recurring basis. By subscribing, you authorize us to charge your payment method each billing cycle until you cancel.

• You can cancel your subscription at any time from the Billing page. Cancellation takes effect at the end of the current billing period. You retain access to paid features until that date.
• We do not offer refunds for partial billing periods. If you believe you were charged in error, contact us at support@appdore.com within 7 days of the charge and we will review your case. Refunds are issued at our sole discretion.
• Unused monthly generation credits do not roll over to the next billing cycle.
• We reserve the right to change plan pricing with at least 30 days notice to active subscribers. If you do not agree to a price change, you may cancel before the change takes effect.
• Payments are processed securely through Stripe. We do not store your credit card details on our servers.

8. Free Plan Limitations

Free plan users receive a limited number of AI generation credits per month, can connect 1 social account, publish up to 5 posts per month, and access a limited sample of the content feed (6 posts). Free users may download images and use the scheduling and publishing features within their plan limits. We reserve the right to change free plan features and limitations at any time with reasonable notice.

9. Account Termination

We reserve the right to suspend or permanently terminate accounts that violate these Terms, engage in abusive behavior, attempt to circumvent platform restrictions, or are used for fraudulent activity. In cases of serious violations, termination may occur without prior notice.

You may delete your own account at any time from the Account Settings page. Upon deletion, your data will be handled in accordance with our Privacy Policy.

10. Service Availability

Postida is provided on an "as is" and "as available" basis without warranties of any kind, express or implied. We do not guarantee uninterrupted, error-free, or secure operation of the Service at all times. We are not liable for any losses caused by service downtime, failed or delayed posts, API disruptions from third-party providers (including Meta and OpenAI), or any interruption in service for any reason.

Scheduled maintenance will be communicated in advance where possible. Emergency maintenance may occur without advance notice.

11. Limitation of Liability

To the maximum extent permitted by applicable law, Postida and its operators, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages arising from your use of the Service or inability to use the Service, including but not limited to:

• Lost revenue, lost profits, or lost business opportunities.
• Loss of data or generated content.
• Damage to your business reputation resulting from published content.
• Account suspensions or restrictions imposed by Meta or any other third-party platform.
• Failures or delays in social media publishing caused by third-party API issues.
• Any action or inaction by Meta, Facebook, Instagram, or any other third-party service provider.

Our total liability to you for any claim arising from these Terms or your use of the Service shall not exceed the total amount you paid to us in the three months immediately preceding the event giving rise to the claim.

12. Indemnification

You agree to indemnify, defend, and hold harmless Postida and its operators from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with: (a) your use of the Service; (b) any content you publish through the Service; (c) your violation of these Terms; or (d) your violation of any third-party rights, including Meta's Platform Policies.

13. Intellectual Property

The Postida platform, including its software, design, and curated content library, is the property of its operators and is protected by applicable intellectual property laws. You may not copy, modify, distribute, or create derivative works from the platform itself without written permission.

Content you generate or customize using the Service, once downloaded or published, is yours to use for your own business social media purposes subject to the limitations described in Section 5.

14. Changes to Terms

We may update these Terms from time to time to reflect changes to the Service, legal requirements, or our business practices. Material changes will be communicated via email to your registered address at least 14 days before they take effect. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms. If you do not agree to updated Terms, you must stop using the Service and may cancel your subscription before the changes take effect.

15. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Texas, United States, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Texas.

16. Analytics and Marketing

We use analytics and marketing tools, including Google Tag Manager, Google Analytics, and Google Ads conversion tracking, to understand how our website is used and to measure the effectiveness of our advertising. These tools may use cookies and similar technologies to collect anonymized data about your interactions with the Service.

By using the Service, you acknowledge that we may use these tools to collect and process usage data as described in our Privacy Policy. You may manage cookie preferences through your browser settings or opt out of personalized advertising at adssettings.google.com.
